Terms of Sale

These Terms of Sale govern the purchase of the paid "Duo" subscription to the Nuptia platform, published by Vanille Digital Ltd. They supplement the Terms of Service and the Privacy Policy, to which they refer. Subscribing to the Duo plan constitutes full acceptance of these Terms of Sale.
1. Purpose
These Terms of Sale set out the conditions for the sale of the paid "Duo" subscription, which grants access to Nuptia's premium features. The free "Essentiel" plan is not sold and is not covered by these Terms of Sale; it remains governed by the Terms of Service.
2. Seller and reseller (Merchant of Record)
The Nuptia service is published by Vanille Digital Ltd. (the "Publisher"), whose full details appear in the Legal Notice.
The subscription is sold by Lemon Squeezy (Lemon Squeezy LLC), acting as the official reseller (Merchant of Record) on behalf of the Publisher. As such, Lemon Squeezy is the seller of the subscription to the end customer: it concludes the sales contract, collects payment, issues the invoice, and collects and remits the applicable VAT. The Publisher does not have access to your banking details.
3. Description of the offer and pricing
Nuptia offers two plans:
- Essentiel (free, no card required): access to essential planning features.
- Duo: access to all features, including the AI assistant and advanced vendor management. Price: €9.99 incl. VAT per month or €79 incl. VAT per year.
Prices are shown inclusive of all taxes. The VAT applicable based on your country of residence is calculated, collected, and remitted by Lemon Squeezy in its capacity as Merchant of Record. The final amount and VAT breakdown are shown before you confirm your order and appear on your invoice.
4. Ordering and payment
Orders are placed online from your Nuptia account, via the secure payment page operated by Lemon Squeezy. The contract is concluded when payment is confirmed. A confirmation and an invoice are sent to you by email. Accepted payment methods are those offered on the reseller's payment page.
5. 14-day trial period
The Duo subscription begins with a 14-day trial period. A payment card is required when starting the trial, but no amount is charged before the end of this 14-day period. At the end of the trial, and unless you cancel beforehand, the paid subscription is automatically activated and the first payment is charged according to the plan you chose (monthly or annual). You may cancel at any time during the trial at no cost; the free Essentiel plan remains available without a card.
6. Right of withdrawal
Under Articles L221-18 et seq. of the French Consumer Code, consumers generally have a fourteen (14) day period to exercise their right of withdrawal from a distance contract, without having to give reasons.
As Nuptia is a digital service supplied without a tangible medium, you acknowledge and agree, at the time of subscription, that performance of the service begins immediately, before the end of the withdrawal period, and you expressly waive your right of withdrawal for the portion of the service already performed, in accordance with Article L221-28 13° of the French Consumer Code. In practice, the free 14-day trial period lets you evaluate the service with no financial commitment before any charge. Refund terms are set out in our Refund Policy.
7. Term and renewal
The Duo subscription is taken out for the term of the plan chosen (one month or one year) and renews automatically for successive periods of the same length, unless cancelled before the end of the current period. Cancellation terms are detailed in our Cancellation Policy.
8. Pricing and changes
The applicable prices are those in force on the day of the order. The Publisher reserves the right to change its prices at any time for the future. Any price change affecting an ongoing subscription will be notified to you in advance by email and will apply only from the next renewal, giving you the option to cancel before it takes effect.
9. Cancellation
You may cancel your Duo subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and access to premium features is maintained until then. Full terms are set out in our Cancellation Policy.
10. Refunds
As this is a subscription, no pro-rata refund is provided for a period already started, without prejudice to your statutory rights. The conditions, exceptions, and refund procedure are detailed in our Refund Policy.
11. Obligations of the parties
The Publisher undertakes to provide the service with due care and in accordance with the description of the offer. You undertake to provide accurate information when ordering, to use the service in accordance with the Terms of Service, and to pay the price of the subscription taken out. AI assistant suggestions are provided for informational purposes only and do not constitute professional advice.
12. Governing law and disputes
These Terms of Sale are governed by French law, without prejudice to the mandatory consumer protection provisions you benefit from in your country of residence within the European Union. In the event of a dispute, the parties will seek an amicable solution before any legal action.
In accordance with Articles L611-1 et seq. of the French Consumer Code, consumers may use a consumer mediator free of charge to resolve a dispute amicably. The details of the competent mediator will be specified here. You may also use the European Online Dispute Resolution (ODR) platform available at ec.europa.eu/consumers/odr.
